PrepForest Affiliate Program
Terms and Conditions
These terms and conditions (“Agreement”) govern your participation in the PrepForest Affiliate Program (“Program”). By registering and participating in the Program, you (“Affiliate”) agree to the following terms and conditions:
1. Affiliate Program Enrollment
- To participate in the Program, you must complete the application process. PrepForest reserves the right to accept or reject any application at its sole discretion without providing any explanation for the decision.
- Only individuals or businesses that promote PrepForest’s services in an appropriate and compliant manner will be accepted into the Program.
- Affiliates must have a valid PayPal account or bank account to receive payments.
2. Affiliate Obligations
- As an affiliate, you agree to promote PrepForest’s services in a responsible and ethical manner, using only the promotional materials and links provided by PrepForest or approved for use.
- You must not engage in any prohibited marketing practices, including but not limited to:
- Sending unsolicited emails (spam) or using deceptive marketing techniques.
- Bidding on PrepForest-branded keywords in paid search campaigns (e.g., Google Ads, Bing Ads).
- Misleading customers with unauthorized discounts, false claims, or deceptive offers.
- Engaging in any form of cookie stuffing or unethical behavior that artificially inflates affiliate commissions.
- All promotional activities must comply with applicable laws and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines for affiliate marketing disclosures.
3. Commission Structure
- Affiliates will earn a 20% commission on the monthly subscription payments for each referred customer, based on the first 3 months of the customer’s active subscription. Commissions will only be paid for the months during which the customer’s subscription remains active.
- Commissions are only payable for legitimate, valid transactions. No commission will be paid on:
- Refunds or chargebacks.
- Purchases deemed fraudulent or in violation of the Program’s terms.
- Transactions made by the affiliate themselves, family members, or associates.
- PrepForest reserves the right to adjust or change the commission structure with prior notice.
4. Cookie Tracking
- The Program uses cookies to track affiliate referrals. A cookie will remain active for 30 days after a potential customer clicks on the affiliate’s unique link.
- If the customer makes a purchase during the 30-day window, the affiliate will be credited with the referral.
- If the customer clicks on another affiliate’s link within the 30-day period, the most recent affiliate link will be credited with the referral.
5. Commission Payments
- Commissions become due 15th of the month that comes 60 days after the date of purchase, once the payment has been confirmed valid (i.e., not refunded or flagged as fraudulent).
- Payments are made via PayPal or bank transfer (Zelle), as agreed during sign-up.
- PrepForest will issue commission payments:
- The 15th of the month, 60 days after a confirmed purchase.
- It is the affiliate’s responsibility to ensure that their payment information is accurate and up to date. PrepForest is not liable for any delays or missed payments due to incorrect payment details.
6. Termination
- Either party may terminate this Agreement at any time, with or without cause, by providing written notice.
- Upon termination, the affiliate must immediately cease all use of PrepForest’s promotional materials, trademarks, logos, and affiliate links.
- If the affiliate’s account is terminated due to a violation of these terms, PrepForest reserves the right to withhold any unpaid commissions.
- Any commissions earned prior to termination will be paid according to the payout schedule outlined above, provided the commissions are not associated with fraudulent or invalid transactions.
7. Intellectual Property
- Affiliates are granted a non-exclusive, revocable license to use PrepForest’s promotional materials, including logos, banners, and text links, solely for the purpose of promoting PrepForest’s services under this Agreement.
- All intellectual property rights in PrepForest’s materials, trademarks, and services remain the exclusive property of PrepForest.
- Affiliates may not alter, modify, or misrepresent PrepForest’s brand, logos, or promotional materials in any way.
8. Prohibited Activities
- Affiliates must not engage in any of the following activities:
- Using unauthorized promotional methods such as pop-ups, pop-unders, or cookie stuffing.
- Bidding on any PrepForest-branded keywords or terms in search engine marketing campaigns (e.g., “PrepForest”, “PrepForest CogAT”, etc.).
- Promoting affiliate links on websites containing inappropriate, offensive, or illegal content.
- Offering unauthorized discounts, promotions, or incentives not approved by PrepForest.
- Violation of any of these terms may result in the immediate termination of the affiliate’s account and forfeiture of unpaid commissions.
9. Modification of Terms
- PrepForest reserves the right to modify, update, or change these terms and conditions at any time. Affiliates will be notified of significant changes via email or through the affiliate dashboard.
- Continued participation in the Program after such changes constitutes acceptance of the updated terms.
- It is the affiliate’s responsibility to review the terms and conditions regularly to ensure compliance.
10. Limitation of Liability
- PrepForest will not be held liable for any indirect, special, or consequential damages arising out of or in connection with the Program, including loss of profits, business opportunities, or other economic loss.
- PrepForest’s total liability to affiliates under this Agreement shall not exceed the total commissions paid to the affiliate in the 12 months preceding the event giving rise to the claim.
- PrepForest makes no representations or warranties regarding the operation or functionality of the affiliate tracking system or the availability of its website or services.
11. Confidentiality
- Affiliates must maintain the confidentiality of all proprietary and non-public information they gain access to through the Program. This includes customer information, commission details, marketing strategies, and any other information not intended for public disclosure.
- The obligation to maintain confidentiality survives the termination of this Agreement.
12. Governing Law and Dispute Resolution
- This Agreement is governed by and construed in accordance with the laws of the jurisdiction where PrepForest operates.
- Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts in PrepForest’s home jurisdiction.
- Both parties agree to attempt to resolve any disputes amicably before resorting to legal action.
13. Miscellaneous
- This Agreement constitutes the entire agreement between PrepForest and the affiliate concerning the Program and supersedes any prior agreements or communications.
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be fully valid and enforceable.
- Affiliates may not assign or transfer this Agreement, or any rights or obligations hereunder, without prior written consent from PrepForest.
